Early Trading Fees

During the first 720 days following the Issue Date, an Early Trading Charge will apply to any secondary market sale of a Note through the Selling Agent. The Early Trading Charge will be equal to a percentage of the Principal Amount of the Note, determined as follows:

If Sold Within Early Trading Fee
0-90 days 5.50%
91-180 days 4.75%
181-270 days 4.00%
271-360 days 3.25%
361-450 days 2.50%
451-540 days 1.75%
541-630 days 1.00%
631-720 days 0.25%
